Staffbooker Terms and Conditions
1 Terms and conditions
The following terms and conditions apply to the Contract (see definition below) and each future request for the supply of services received by Staffbooker from the Client (see definition below) from time to time unless otherwise agreed in writing. The supply of the Services (see definition below) shall be subject to these terms, which shall take precedence over any terms and conditions of the Client.

2 Definitions
In these terms and conditions the following words shall have the meanings given in this clause:
2.1 ‘Client’ means the person, firm or company using the Services;
2.2 ‘Contract’ means the contract formed between the Client and Staffbooker by Staffbooker accepting an offer from the Client; By clicking the ‘Continue’ button the Client accepts these terms and conditions and indicates a willingness to be bound by them and to enter into a contract with Staffbooker.
2.3 ‘Data’ means data and information stored by Staffbooker and accessed by the Client through Staffbooker’s website
2.4 ‘Price’ means the cost of the Services as indicated by the tariff contained in the Staffbooker Web site
2.5 ‘Services’ means Web based advertising and hosting facilities available to Clients seeking staff through the search facility provided by the Staffbooker website and to potential employees posting their personal details;
2.6 ‘Staffbooker’ means Staff Booker Limited Registered Office 15 Ryefield Gardens Sheffield South Yorkshire S11 9UD Company Number 05168058;
2.7 ‘Rights’ means all copyright, design rights (whether registered or unregistered), patents, rights in trade marks (whether registered or unregistered), database rights or other intellectual property rights in the Data and other information and content contained in the Staffbooker website, for the full term of those rights, worldwide.

3 Staffbooker’s obligations
3.1 Staffbooker will use its reasonable care and skill in the supply to the Client of the Services.
3.2 Staffbooker will use its best endeavours to maintain data submitted by the Client confidential and secure except where your consent has been given to its publication or release or where its use or publication is necessary for the completion of the contract between Staffbooker and the Client

4 Client’s Obligations

The Client must:
4.1 ensure that all information and data provided to Staffbooker is true, accurate and complete in all respects;
4.2 immediately notify Staffbooker of any change in the accuracy of information supplied;
4.3 not subsell, divulge or profit from Services supplied by Staffbooker save in the ordinary course of the business of the Client
4.4 upload, publish post, email or otherwise transmit via the Staffbooker website any information or material which is unlawful, illegal, obscene, libelous or which is otherwise in the opinion of Staffbooker distasteful or harmful
4.5 infringe the Rights owned by Staffbooker;
4.6 indemnify Staffbooker against all claims demands, costs and expenses howsoever arising out of the breach of any of these terms and conditions or the infringement of the rights of any third party;
4.7 maintain confidentiality in respect of its password and username.

5 Price The prices payable for services that you the Client use are as set out in our website.

6 Cancellation
6.1 Cancellation by you
Save as permitted by the Consumer Protection (Distance Selling) Regulations 2000 you cannot cancel your contract once the Services you require have been accessed. The seven day cooling off period stipulated in the above regulations commences the day following the date upon which these terms and conditions are accepted by the Client and the contract between the Client and Staffbooker commences
6.2 Cancellation by us
Staffbooker reserves the right at its sole discretion to cancel this contract at any time without notice and to withdraw access by the Client to its website.

7 Terms of Payment
Submitting an order for Services forms an offer to purchase Services which once accepted by Staffbooker forms a binding contract incorporating these terms and conditions. Payment for the Services then becomes immediately due and payable.

8 Matters beyond the Staffbookers’s reasonable control
8.1 Staffbooker is not liable for any breach of this Contract caused by matters beyond its reasonable control including acts of God, fire, lightning, explosion, war, disorder, flood, industrial disputes (whether or not involving the Agency’s employees), weather of exceptional severity or acts of local or central government or other authorities.
8.2 Staffbooker reserves the right to modify discontinue, interrupt or suspend the Services at any time; the Client agrees that in so doing Staffbooker will not be liable to the Client for any losses whether direct or consequential or whether incurred by the Client or any third party

9 Nature of Contract
The Client acknowledges that dealings between potential staff and other advertisers contacted by the Client as a result of the Services form a contract directly between the Client and the relevant third party and are not the subject of any contract between Staffbooker and the Client

10 Fidelity of Third Parties/Nature of Employment Offered
In permitting third parties to post details of their availability on this website Staffboker makes no representation or warranty as to the fitness, suitability or identity of any third party. The Client accepts and acknowledges that Staffbooker has not carried out any vetting or screening either in respect of employment available to third parties or in respect of third parties offering themselves as potential candidates

11 Entire agreement
This Contract is the entire agreement between the parties on the subject matter contained herein and supersedes all representations, communications and prior agreements between the parties in that regard.

Each party acknowledges that upon entering into this Contract it does not rely and has not relied on any representation (whether negligent or innocent), statement or warranty made or agreed to by any person (whether a party to this Contract or not) except those expressly referred to in this Contract. The only remedy available in respect of any misrepresentation or untrue statement made to either party shall be a claim for damages for breach of contract under this Contract. This clause shall not apply to any statement, representation or warranty made fraudulently, or to any provision of this Contract which was induced by fraud for which the remedies available shall be those available under the law governing this Contract.

12 Third party rights
A person who is not a party to this Contract has no rights under the Contracts (Rights of Third Parties) Act of 1999 to enforce any term of this Contract, but this does not affect any other right or remedy of a third party.

13 Service of notices Any written notice required by this Contract should be sent (in the case of a notice to be served upon Staffbooker) to its registered office and in respect of a Client to the address of the intended recipient notified by the Client to Staffbooker as its preferred method of contact. Notices can be sent to any Client by email, by post or by fax at the option of Staffbooker.

14 Severability In the event that any of these terms and conditions or any part of them shall be determined by a court or authority of competent jurisdiction to be invalid, unlawful or unenforceable whether in whole or part then such term or provision shall be severed from the remaining terms to the extent necessary and the remaining terms and provisions shall continue to be valid and enforceable to the fullest extent permissible

15 Governing law and jurisdiction This Contract and any relevant interaction between the parties shall be governed by and construed in accordance with the laws of England and Wales and both parties agree to submit to the non-exclusive jurisdiction of the courts of England and Wales in relation to any claim, dispute or difference which may arise hereunder or in relation to any relevant interaction between the parties prior to this Contract.
